These Terms of Use ("Terms") govern your access to and use of the Sellixy platform ("the Service"), operated by Blinkcash Ltd ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By registering, you represent and warrant that you meet these requirements.

2. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorised access to your account.

3. Description of Service

Sellixy provides AI-powered sales automation for WhatsApp. The Service enables businesses to:

  • Automatically respond to customer enquiries on WhatsApp.
  • Manage product catalogues and pricing.
  • Process orders and facilitate payments.
  • Use AI-driven negotiation to close sales.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Send spam, unsolicited messages, or bulk messaging that violates WhatsApp's policies.
  • Sell prohibited, illegal, or regulated goods without proper authorisation.
  • Misrepresent your identity or the nature of your business.
  • Interfere with or disrupt the Service or its infrastructure.
  • Attempt to gain unauthorised access to any part of the Service.
  • Use the Service for fraudulent transactions or deceptive practices.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these Terms.

5. Payments and Fees

  • Certain features of the Service may require payment of fees.
  • All fees are stated in the currency indicated at the time of purchase and are non-refundable unless otherwise specified.
  • We may change our pricing with at least 30 days' advance notice.
  • Payments are processed through third-party payment providers. Your use of those services is subject to their terms.

6. Intellectual Property

All rights, title, and interest in and to the Service — including its design, code, features, branding, and documentation — are owned by Blinkcash Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

You retain ownership of the content you upload to the Service (product listings, images, business data). By using the Service, you grant us a licence to process this content as necessary to provide the Service.

7. AI-Generated Content

The Service uses artificial intelligence to generate responses to customer messages on your behalf. You acknowledge that:

  • AI-generated responses may not always be accurate or appropriate.
  • You are responsible for reviewing and configuring your AI agent's behaviour.
  • You remain solely responsible for all communications sent through your WhatsApp Business account, including those generated by AI.
  • We are not liable for any loss, damage, or dispute arising from AI-generated content.

8. Third-Party Services

The Service integrates with third-party platforms including WhatsApp (Meta), payment processors, and AI model providers. Your use of these integrations is subject to the respective third-party terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • We do not warrant that the Service will be uninterrupted, error-free, or secure.
  • In no event shall Blinkcash Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability to you for any claims arising from or related to the Service shall not exceed the total fees paid by you to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Blinkcash Ltd, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

  • You may terminate your account at any time by contacting us or using the account settings.
  • We may suspend or terminate your account at any time for violation of these Terms, with or without notice.
  • Upon termination, your right to use the Service ceases immediately. We may delete your data after a reasonable retention period, unless required by law to retain it.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
